1. Acceptance of Terms

By accessing or using BATTREX SOLUTIONS' services, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and BATTREX SOLUTIONS regarding your use of our services.

Important: If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority or if you do not agree with these Terms, you must not accept these Terms and may not use our services.

2. Description of Services

BATTREX SOLUTIONS provides comprehensive battery technology services including but not limited to:

  • Technical Analysis: In-depth evaluation of battery systems and components
  • Quality Assurance: Testing and validation services to ensure product quality
  • Performance Optimization: Enhancement of battery efficiency and lifespan
  • Battery Testing: Comprehensive safety and reliability testing
  • Auditing Services: Compliance and operational audits
  • Consultation Services: Expert guidance on battery technologies

Specific services will be detailed in individual service agreements or statements of work.

3. Service Delivery and Performance

BATTREX SOLUTIONS commits to:

  • Performing services with the professional care and skill expected of battery technology specialists
  • Using qualified personnel with appropriate expertise
  • Meeting mutually agreed timelines and specifications
  • Maintaining industry-standard quality controls
  • Providing regular progress updates when applicable
  • Delivering comprehensive reports and documentation

Any specific performance standards will be outlined in the relevant service agreement.

4. Client Responsibilities

To enable effective service delivery, clients must:

  • Provide accurate, complete, and timely information
  • Designate a qualified representative for coordination
  • Grant necessary access to facilities, systems, and personnel
  • Ensure safe working conditions for our personnel
  • Make timely payments according to agreed terms
  • Comply with all applicable laws and regulations
  • Obtain any required permissions or consents

Delays caused by client failure to meet these responsibilities may impact service timelines and additional charges may apply.

5. Intellectual Property

Ownership: All intellectual property rights in our services, methodologies, reports, and deliverables remain the exclusive property of BATTREX SOLUTIONS or its licensors.

License: Clients receive a limited, non-exclusive, non-transferable license to use deliverables solely for their internal business operations related to the specific engagement.

Restrictions: Clients may not reproduce, distribute, modify, create derivative works from, or publicly display our deliverables without prior written consent.

Client Materials: Intellectual property provided by clients remains their property, and clients grant BATTREX SOLUTIONS a limited license to use such materials solely for service delivery.

6. Confidentiality

Both parties agree to:

  • Maintain the confidentiality of all proprietary information received
  • Use such information only for the purposes of the engagement
  • Disclose information only to employees with a need to know
  • Protect confidential information with at least the same degree of care used for their own similar information

Confidentiality obligations survive termination of services and continue for a period of five years.

7. Limitation of Liability

Direct Damages: Our total liability for any claims related to services is limited to the fees paid for the specific service in question during the six months preceding the claim.

Indirect Damages: In no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption.

Essential Purpose: These limitations apply even if any remedy fails of its essential purpose.

Exception: Nothing in these Terms limits liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded under applicable law.

8. Termination

For Cause: Either party may terminate services with written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of notice.

Effect of Termination: Upon termination:

  • All payment obligations become immediately due
  • Each party shall return or destroy the other's confidential information
  • Provisions regarding intellectual property, confidentiality, and liability survive

Wind Down: For ongoing services, we will provide a reasonable transition period not to exceed 30 days.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Tirupati, Andhra Pradesh.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
